is there no command like txt2mtext (to convert txt to mtext) in the german version of autocad2013?!?
is there any other way to do it?

Do you have an "Express Tools" menu or similar? Perhaps you just need to install that.

oviously the express tools are only available / installable in the "english original version" :-(

Express Tools are available in any language version of AutoCAD. Just make sure you include ETs installation in your AutoCAD setup options (you can also add them later via setup.exe).
