I have an xref loaded and after I freeze the layers with LAYFRZ or just freeze command on the xref and open the dwg back up it doesnt keep the layers frozen that I froze.

 
xrefctl is 0
xrefnotify is 2
xreftype is 1

You need to have VISRETAIN set to 1 for layer settings to "stick"
