when attaching an x-ref it is best to attach it when you have the UCS set to world. If the x-ref is rotated to a named UCS then save it at the World rotation before trying to attacing to your drawing.

Command: Ucsfollow

Command: 1

Then you can either load the UCSII tool bar and then select world or you can just type the command: UCS and follow the prompts.
